This Agreement (“Agreement”) is made effective as of the noted date by and between Pewple.Org and/or Pewple LLC (“PEWPLE”) of IL State and each respective Subscriber (“CLIENT”) of their respective State or country.

Welcome to Pewple

Subject to the Terms and Conditions of this Agreement, PEWPLE will provide Website Development, Creation, Hosting and additional services including but not limited to Custom Banner, Apparel Design and production services for CLIENT, which are to be governed by and subject to the Terms of Service.

General

If any provision of this Agreement is held to be unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired thereby. This Agreement shall be governed by and construed in accordance with the laws of the State of IL. Exclusive jurisdiction and venue shall be in the County of COOK, IL. Superior Court. A failure by any party to exercise or delay in exercising a right or power conferred upon it in this Agreement shall not operate as a waiver of any such right or power. Each party represents and warrants that, on the date first written above, they are authorized to enter into this Agreement in entirety and duly bind their respective principals.

By subscribing to our services, you acknowledge and agree to our Terms of Service as described herein in its entirety, and in consideration of the mutual covenants set forth in this Agreement, the CLIENT hereby agree as follows:

Length of Service

Per this Agreement, there is no specific length of time limiting or restricting CLIENT to a set, implied or approximated length of service exclusively. CLIENT can continue his/her service with PEWPLE until he/she chooses not to renew an annual subscription or he/she elects to cancel their monthly subscription. Therefore, the length of the Agreement required is based on the type of service desired by CLIENT and shall be determined solely by PEWPLE.

Service Start Date

CLIENT must select the monthly service plan that bests suits his/her ministry’s needs. After doing so, the CLIENT must subscribe to their desired plan in order to begin his/her subscription to PEWPLE and launch the website creation process.

THIS AGREEMENT/SUBSCRIPTION WILL CONTINUE PERPETUALLY UNLESS OTHERWISE CANCELED BY PEWPLE OR CLIENT. See; Termination tab for additional information.

Website Content

CLIENT is required to provide the desired content, including but not limited to: verbiage, church logo, desired color schemes, pictures, audio and video files, etc. to PEWPLE on or thirty (30) days after the start date. CLIENT can submit this information via email: yourfriends@pewple.org or by clicking here.

CLIENT has a minimum of thirty (30) days to gather and furnish all needed content for their website to CLIENT. There is no penalty of any kind if CLIENT requires additional time– up to sixty (60) days total.

Upon successful receipt of all CLIENT content as described, PEWPLE REQUIRES A MINIMUM of thirty (30) to forty-five (45) days to design, develop, build and present the new website to the CLIENT for approval and completion. Once approved, the website is converted for MOBILE RESPONSIVENESS and migrated to the CLIENT’s chosen domain name. PEWPLE will then publish your new website- making it available for the CLIENT and the world to view and enjoy.

Pricing and Web Hosting

Important: THERE ARE NO WEB DESIGN, SETUP OR DEVELOPMENT FEES WITH OUR SERVICE. THE CLIENT IS ONLY REQUIRED TO KEEP HIS/HER SUBSCRIPTION ACTIVE AND IN GOOD STANDING. Upon subscribing, PEWPLE will design, develop and publish a custom website for CLIENT.

PEWPLE will also secure, manage, update, maintain and provide monthly website hosting at no additional cost to the CLIENT.

Note: A WEBSITE IS DESCRIBED IN PART AS: “A connected group of pages on the World Wide Web regarded as a single entity and devoted to a single topic or several closely related topics furnished by CLIENT.” Subscription fee must be paid to begin subscription and the Website creation process.

A monthly subscription fee is due each month thereafter.

PRICES ARE SUBJECT TO CHANGE. BUT CLIENTS CURRENT RATE WILL BE HONORED AS LONG AS THE ACCOUNT REMAINS ACTIVE AND IN GOOD STANDING. Note: If the account is suspended, terminated or interrupted due to non-payment, the account may be reinstated at the present day rate of reinstatement and service reactivation.

Domain Names

If the Agreement has expired and is not renewed, the domain name will be removed from the website and administrative access for the domain name will be ported back to CLIENT. If CLIENT is still under the annual service Agreement and cancels, however, CLIENT may purchase domain from PEWPLE for a one-time fee of: $25USD atop the early termination fee as described herein.

Bishop Carr Clause

Important: IF YOU ARE SEEKING A TEMPORAL, SEASONAL OR OTHERWISE SHORT TERM ONLINE/WEBSITE SOLUTION, DO NOT SUBSCRIBE TO OUR SERVICES.

Our service offerings are intended for local churches, small business owners and religious and/or community-focused organizations in need of professional, custom websites for the long term. Therefore, we hereby reserve the right to DENY and/or TERMINATE any local church, small business or organization’s subscription, if this clause is not adhered to or violated in any way.

Website Updates and Changes

Change is inevitable. This is why we offer a free concierge service to assist with any changes, additions and updates a CLIENT may need applied to their website. CLIENTS can submit content UPDATES, MODIFICATIONS, ADDITIONS and CHANGE REQUESTS (for their website) on a weekly and/or monthly basis– per their selected plan.

The following can be made to CLIENT’s website at NO ADDITIONAL CHARGE (some examples provided):

a. UPDATE: Changing a pastor’s bio or new church location.
b. REMOVE: Staff/personnel or limited time content (Ex. Event or conference flyer, etc.).
c. MODIFY: Changing an image (Ex. A profile pic or CLIENT-provided header) or page verbiage.
d. ADD: New pictures for photo gallery or add a new page (Note: all page content, including: verbiage and pics must be provided also).

Turnaround Times: If received by or before 10a CST, most basic web page updates are updated on the same day. This includes: a. Adding, changing or removing information on a page; b. changing a headshot/picture, c. adding or removing a flyer, etc. All other typical changes and updates can take up to 24hrs. to go live. Please see Premium Updates to add general web pages, online stores/e-commerce functionality and other website changes, additions and updates.

Important: We build all of our CLIENT websites from the ground up. We do not use templates or cutting cutter software designed to accommodate newcomers and novice.

THEREFORE, IN AN ONGOING EFFORT TO PROTECT OUR CLIENT WEBSITES, CONTENT AND SERVERS FROM MALICIOUS ATTACKS, VIRUSES, MALWARE AND OTHER COMPROMISES, CLIENTS ARE NOT GIVEN ADMINISTRATIVE ACCESS TO OUR CLIENT SERVERS TO MAKE THEIR OWN UPDATES. Our skilled team of professionals are the only ones with exclusive access to CLIENT websites for daily management, software upgrades and updates.

Premium Updates and Changes for a Fee

Premium changes are available upon request. These changes are not considered typical or common (as described under General Website Updates, but can be made for an additional service fee of $35/hr. Important: The service fee will be billed separately from your monthly or annual subscription fee.

These premium services will include:

a. ADDITIONS: Adding a new web page, multiple images to an existing web page (Ex. Photo Gallery) or an online store to the website. Note: Adding a new web page will take no less than two (2) hours to complete and post online. In this example, the premium fee will breakdown thusly: $35/hr. x 2hrs. = $70USD.
b. COSMETIC CHANGES: Changing an existing website color theme throughout to coincide with a new church logo or renovated edifice.
c. DESIGN: Changing the website’s overall design and/or layout

Important: PREMIUM CHANGES CAN TAKE 3-5 BUSINESS DAYS TO POST. Exact timeframes will be communicated once your request is processed.

Subscriber Perks

Subject to CLIENT’s chosen service plan, service plans include:

a. Designing, developing, publishing and maintaining all aspects of your website
b. Site optimization
c. Free domain name renewal (Ex. Lobby subscribers)
d. Free email address forwarding
e. Comprehensive 24-hour website security
f. Form creation and configuration (Ex. contact, prayer, registration), etc.
g. Unlimited storage (Ex. video and audio files, pics)

Payment Terms

Subscription fee must be paid to begin subscription and the Website creation process. Subscription fee is due each month thereafter.

PAYMENTS ARE DUE EACH MONTH ON THE ANNIVERSARY DATE OF YOUR ORIGINAL SUBSCRIPTION DATE. Ex. If you subscribed on June 11th, all subsequent payments will be due on the 11th of each month thereafter (Ex. July 11th, August 11th).

Note: All subscription fees (as of January 01, 2024) are processed automatedly via Stripe. it is important to note that Stripe will process payments on the anniversary date, which INCLUDES WEEKENDS AND HOLIDAYS, etc.).

Late Payments: It is important to include a reliable payment source when you subscribe to PEWPLE. YOUR ONLINE SERVICES WILL BE INTERRUPTED IF STRIPE IS UNABLE TO PROCESS YOUR PAYMENT ON THE DUE DATE.

FIRST TIME. If a subscriber’s online services are interrupted due to nonpayment, they must submit payment within ten (10) calendar days of the original due date to maintain your account with us. SECOND TIME. If a subscriber’s online services are interrupted a second time due to nonpayment, their account will be converted from monthly payments to required quarterly payments. THIRD TIME. If a subscriber’s services are interrupted a third time due to nonpayment, their account will be converted from quarterly to required annual payments. Note: If the annual payment isn’t submitted within ten (10) calendar days of the original due date, their account will be canceled/terminated.

You will be notified via email prior to interruption in an effort to bring the account in good standing beforehand.

Involuntary Cancellation

Important: All websites and related services are subject to cancellation if payment isn’t received within ten (10) calendar days of the original due date.

Termination

PEWPLE may terminate this Agreement at its sole discretion upon the occurrence of one or more of the following events:

a. It is determined that CLIENT does not meet the criteria of a small or Local Church. This is a church, ministry or gathering of believers that HAS BETWEEN TWO (2) AND TWO HUNDRED (200) ACTIVE MEMBERS. Important: Your church active membership may surpass this threshold, but it cannot meet or exceed 100% of our threshold (400 ACTIVE MEMBERS) at the time you subscribed. Please email us if you have any questions.
b. CLIENT fails to comply with any provisions of the Agreement upon receipt of written notice from PEWPLE of said failure
c. Appointment of Receiver or upon the filing of any application by CLIENT seeking relief from creditors.
d. CLIENT does not submit the required files within sixty (60) days of subscribing to PEWPLE.
e. CLIENT has several late and/or decline payments.

Upon Client Cancellation and/or Termination.

PEWPLE may remove CLIENT-provided pictures, page links and other information within three (3) days or until PEWPLE removes CLIENT’s website (database) from its administrative service plan and servers – whichever is last.

ALL MONTHLY CANCELLATIONS ARE SUBJECT TO A ONE (1) MONTH CANCELLATION FEE. EXAMPLE: IF A CLIENT SUBSCRIBES TO A $59USD MONTHLY SERVICE PLAN AND CANCELS BEFORE ONE (1) CALENDAR YEAR; THE CLIENT WILL BE BILLED A $59USD EARLY TERMINATION FEE. IMPORTANT: IF CLIENT CANCELS BEFORE ONE (1) CALENDAR YEAR, THE CLIENT WILL NOT BE ABLE TO SUBSCRIBE TO PEWPLE’S SERVICES IN THE FUTURE.

Censorship

PEWPLE will exercise no control whatsoever over the content of the information passing through the network, email or Website. CLIENT is responsible for his/her own respective content, verbiage, images, political and/or religious views and opinions.

Warranties

PEWPLE makes no warranties or representations of any kind, whether expressed or implied for the service it is providing. PEWPLE also disclaims any warranty of merchantability or fitness for any particular purpose and will not be responsible for any damages that may be suffered by CLIENT, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of CLIENT.

Use of any information obtained by way of PEWPLE is at CLIENT’s own risk, and PEWPLE specifically denies any responsibility for the accuracy or quality of information obtained through its services. Connection speed represents the speed of an end-to-end connection. PEWPLE does not represent guarantees of speed or availability of end-to-end connections.

PEWPLE expressly limits its damages to CLIENT for any non-accessibility time or other down time to the pro-rata monthly charge during the system unavailability. PEWPLE specifically denies any responsibilities for any damages arising as a consequence of such unavailability.

Proprietary Information

Proprietary information exchanged here under shall be treated as such by CLIENT. This information shall include, but not be limited to, the provisions of this Agreement, product and services information and pricing. CLIENT further agrees to not decompose, disassemble, decode or reverse engineer any PEWPLE program, code or technology delivered to CLIENT or any portion thereof.

ALL APPAREL DESIGNS ARE THE SOLE PROPERTY OF PEWPLE. CLIENT IS NOT PERMITTED TO REPRODUCE ANY CUSTOM DESIGNS CREATED BY PEWPLE VIA ANY THIRD-PARTY AT ANY TIME DURING OR AFTER ANY SERVICE CANCELLATION FOR ANY REASON.

CLIENT understands all design production is hereby restricted and is the limited, sole, and exclusive right of PEWPLE.

Intellectual Properties, Trademarks and Copyrighted Material

CLIENT warrants that it has the right to use any applicable trademarks or copyrighted material used in connection with this service. PEWPLE will not be responsible for any plagiaristic claims made and/or pursued by any third party derived from CLIENT-provided verbiage, information, pictures, downloads, video or audio clips, products or services published to CLIENT Website.

Disputes

If legal proceedings are commenced to resolve a dispute arising out of, or relating to, this Agreement, the prevailing party shall be entitled to recover all costs, legal fees, and expert witness fees as well as any costs or legal fees in connection with any appeals.

Indemnification

CLIENT shall indemnify and hold PEWPLE harmless from and against any and all claims, judgments, awards, costs, expenses, damages and liabilities (including reasonable attorney fees) of whatsoever kind and nature that may be asserted, granted or imposed against COMPANY directly or indirectly arising from or in connection with CLIENT’s marketing or support services of the product or services or the unauthorized representation of the product and services or any breach of this Agreement by CLIENT.

Transfer of Agreement

CLIENT may not assign or transfer this Agreement, in whole or in part without the prior written consent of PEWPLE. In the event that CLIENT contemplates whole or partial sale of its business, ownership change, or change in jurisdiction, CLIENT shall notify COMPANY by email no less than sixty (60) days prior to the effective date of the event.

What information do we collect?

We collect information from you when you register on the site, place an order, enter a contest or sweepstakes, respond to a survey or communication such as e-mail, or participate in another site feature. THEREFORE, IN AN ONGOING EFFORT TO PROTECT OUR CLIENT WEBSITES, CONTENT AND SERVERS FROM MALICIOUS ATTACKS, VIRUSES, MALWARE AND OTHER COMPROMISES, CLIENTS ARE NOT GIVEN ADMINISTRATIVE ACCESS TO OUR CLIENT SERVERS TO MAKE THEIR OWN UPDATES. Our skilled team of professionals are the only ones with exclusive access to CLIENT websites for daily management, software upgrades and updates.

Premium Updates and Changes for a Fee

Premium changes are available upon request. These changes are not considered typical or common (as described under General Website Updates, but can be made for an additional service fee of $35/hr. Important: The service fee will be billed separately from your monthly or annual subscription fee.

These premium services will include:

a. ADDITIONS: Adding a new web page, multiple images to an existing web page (Ex. Photo Gallery) or an online store to the website. Note: Adding a new web page will take no less than two (2) hours to complete and post online. In this example, the premium fee will breakdown thusly: $35/hr. x 2hrs. = $70USD.
b. COSMETIC CHANGES: Changing an existing website color theme throughout to coincide with a new church logo or renovated edifice.
c. DESIGN: Changing the website’s overall design and/or layout

Important: PREMIUM CHANGES CAN TAKE 3-5 BUSINESS DAYS TO POST. Exact timeframes will be communicated once your request is processed.

Subject to CLIENT’s chosen service plan, service plans include:

a. Designing, developing, publishing and maintaining all aspects of your website
b. Site optimization
c. Free domain name renewal (Ex. Lobby subscribers)
d. Free email address forwarding
e. Comprehensive 24-hour website security
f. Form creation and configuration (Ex. contact, prayer, registration), etc.
g. Unlimited storage (Ex. video and audio files, pics)

Payment Terms

Subscription fee must be paid to begin subscription and the Website creation process. Subscription fee is due each month thereafter.

PAYMENTS ARE DUE EACH MONTH ON THE ANNIVERSARY DATE OF YOUR ORIGINAL SUBSCRIPTION DATE. Ex. If you subscribed on June 11th, all subsequent payments will be due on the 11th of each month thereafter (Ex. July 11th, August 11th).

Note: All subscription fees (as of January 01, 2024) are processed automatedly via Stripe. it is important to note that Stripe will process payments on the anniversary date, which INCLUDES WEEKENDS AND HOLIDAYS, etc.).

Late Payments: It is important to include a reliable payment source when you subscribe to PEWPLE. YOUR ONLINE SERVICES WILL BE INTERRUPTED IF STRIPE IS UNABLE TO PROCESS YOUR PAYMENT ON THE DUE DATE.

FIRST TIME. If a subscriber’s online services are interrupted due to nonpayment, they must submit payment within ten (10) calendar days of the original due date to maintain your account with us. SECOND TIME. If a subscriber’s online services are interrupted a second time due to nonpayment, their account will be converted from monthly payments to required quarterly payments. THIRD TIME. If a subscriber’s services are interrupted a third time due to nonpayment, their account will be converted from quarterly to required annual payments. Note: If the annual payment isn’t submitted within ten (10) calendar days of the original due date, their account will be canceled/terminated.

You will be notified via email prior to interruption in an effort to bring the account in good standing beforehand.

Involuntary Cancellation

Important: All websites and related services are subject to cancellation if payment isn’t received within ten (10) calendar days of the original due date.

Termination

PEWPLE may terminate this Agreement at its sole discretion upon the occurrence of one or more of the following events:

a. It is determined that CLIENT does not meet the criteria of a small or Local Church. This is a church, ministry or gathering of believers that HAS BETWEEN TWO (2) AND TWO HUNDRED (200) ACTIVE MEMBERS. Important: Your church active membership may surpass this threshold, but it cannot meet or exceed 100% of our threshold (400 ACTIVE MEMBERS) at the time you subscribed. Please email us if you have any questions.
b. CLIENT fails to comply with any provisions of the Agreement upon receipt of written notice from PEWPLE of said failure
c. Appointment of Receiver or upon the filing of any application by CLIENT seeking relief from creditors.
d. CLIENT does not submit the required files within sixty (60) days of subscribing to PEWPLE.
e. CLIENT has several late and/or decline payments.

Upon Client Cancellation and/or Termination.

PEWPLE may remove CLIENT-provided pictures, page links and other information within three (3) days or until PEWPLE removes CLIENT’s website (database) from its administrative service plan and servers – whichever is last.

ALL MONTHLY CANCELLATIONS ARE SUBJECT TO A ONE (1) MONTH CANCELLATION FEE. EXAMPLE: IF A CLIENT SUBSCRIBES TO A $59USD MONTHLY SERVICE PLAN AND CANCELS BEFORE ONE (1) CALENDAR YEAR; THE CLIENT WILL BE BILLED A $59USD EARLY TERMINATION FEE. IMPORTANT: IF CLIENT CANCELS BEFORE ONE (1) CALENDAR YEAR, THE CLIENT WILL NOT BE ABLE TO SUBSCRIBE TO PEWPLE’S SERVICES IN THE FUTURE.

Censorship

PEWPLE will exercise no control whatsoever over the content of the information passing through the network, email or Website. CLIENT is responsible for his/her own respective content, verbiage, images, political and/or religious views and opinions.

Warranties

PEWPLE makes no warranties or representations of any kind, whether expressed or implied for the service it is providing. PEWPLE also disclaims any warranty of merchantability or fitness for any particular purpose and will not be responsible for any damages that may be suffered by CLIENT, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of CLIENT.

Use of any information obtained by way of PEWPLE is at CLIENT’s own risk, and PEWPLE specifically denies any responsibility for the accuracy or quality of information obtained through its services. Connection speed represents the speed of an end-to-end connection. PEWPLE does not represent guarantees of speed or availability of end-to-end connections.

PEWPLE expressly limits its damages to CLIENT for any non-accessibility time or other down time to the pro-rata monthly charge during the system unavailability. PEWPLE specifically denies any responsibilities for any damages arising as a consequence of such unavailability.

Proprietary Information

Proprietary information exchanged here under shall be treated as such by CLIENT. This information shall include, but not be limited to, the provisions of this Agreement, product and services information and pricing. CLIENT further agrees to not decompose, disassemble, decode or reverse engineer any PEWPLE program, code or technology delivered to CLIENT or any portion thereof.

ALL APPAREL DESIGNS ARE THE SOLE PROPERTY OF PEWPLE. CLIENT IS NOT PERMITTED TO REPRODUCE ANY CUSTOM DESIGNS CREATED BY PEWPLE VIA ANY THIRD-PARTY AT ANY TIME DURING OR AFTER ANY SERVICE CANCELLATION FOR ANY REASON.

CLIENT understands all design production is hereby restricted and is the limited, sole, and exclusive right of PEWPLE.

Intellectual Properties, Trademarks and Copyrighted Material

CLIENT warrants that it has the right to use any applicable trademarks or copyrighted material used in connection with this service. PEWPLE will not be responsible for any plagiaristic claims made and/or pursued by any third party derived from CLIENT-provided verbiage, information, pictures, downloads, video or audio clips, products or services published to CLIENT Website.

Disputes

If legal proceedings are commenced to resolve a dispute arising out of, or relating to, this Agreement, the prevailing party shall be entitled to recover all costs, legal fees, and expert witness fees as well as any costs or legal fees in connection with any appeals.

Indemnification

CLIENT shall indemnify and hold PEWPLE harmless from and against any and all claims, judgments, awards, costs, expenses, damages and liabilities (including reasonable attorney fees) of whatsoever kind and nature that may be asserted, granted or imposed against COMPANY directly or indirectly arising from or in connection with CLIENT’s marketing or support services of the product or services or the unauthorized representation of the product and services or any breach of this Agreement by CLIENT.

Transfer of Agreement

CLIENT may not assign or transfer this Agreement, in whole or in part without the prior written consent of PEWPLE. In the event that CLIENT contemplates whole or partial sale of its business, ownership change, or change in jurisdiction, CLIENT shall notify COMPANY by email no less than sixty (60) days prior to the effective date of the event.
